Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Argentron Technologies ("Company", "we", "us", or "our") governing your access to and use of the SigmaDSA platform, available at sigmadsa.com.

Please read these Terms carefully before using our platform. By accessing or using SigmaDSA, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using SigmaDSA, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the platform.

2. Description of Service

SigmaDSA is a B2B Software-as-a-Service (SaaS) Loan CRM platform designed for Direct Selling Agents (DSAs) operating in India's financial services sector. The platform provides tools for:

  • Loan file management and tracking across multiple stages
  • Lead capture, assignment, and follow-up automation
  • Document collection and processing
  • Credit evaluation workflows
  • Lender panel management and commission tracking
  • Team collaboration and role-based access control
  • Reporting and analytics

We reserve the right to modify, update, or discontinue any feature of the platform at any time, with reasonable notice to active subscribers.

3. Account Registration and Responsibilities

To use SigmaDSA, you must:

  1. Register for an account by providing accurate and complete information
  2. Maintain the security of your login credentials and not share them with unauthorised individuals
  3. Promptly notify us of any unauthorised access to or use of your account
  4. Ensure all users added to your organisation's account comply with these Terms

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Subscription and Payment Terms

  • Plans: SigmaDSA is offered under various subscription plans. Details of features, pricing, and limits are published on our website and may be updated from time to time
  • Billing cycle: Subscriptions are billed on a monthly or annual basis as selected during sign-up. All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST)
  • Payment: Payments are due at the beginning of each billing cycle. We accept payment via UPI, net banking, credit/debit cards, and other methods as available
  • Late payment: If payment is not received within 7 days of the due date, we may suspend access to your account until payment is received
  • Refunds: Subscription fees are non-refundable, except where required by applicable law or at our sole discretion
  • Price changes: We will provide at least 30 days' notice before any price increase takes effect for existing subscribers

5. Acceptable Use Policy

You agree not to use SigmaDSA to:

  • Violate any applicable local, state, national, or international law or regulation
  • Upload, store, or transmit any content that is unlawful, defamatory, or infringes upon the rights of others
  • Attempt to gain unauthorised access to other accounts, the platform's infrastructure, or related systems
  • Reverse-engineer, decompile, or disassemble any part of the platform
  • Use automated tools (bots, scrapers) to extract data from the platform without written permission
  • Interfere with or disrupt the platform's performance, integrity, or availability
  • Resell, sublicence, or redistribute access to the platform without prior written consent

Violation of this policy may result in immediate suspension or termination of your account.

6. Intellectual Property

The SigmaDSA platform, including its source code, design, interface, documentation, branding, logos, and all related intellectual property, is owned exclusively by Argentron Technologies and is protected under applicable Indian and international intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use the platform solely for your internal business purposes during the subscription term. This licence does not convey any ownership rights.

7. Data Ownership

You retain full ownership of all data you upload, create, or generate on the platform ("Your Data"). We do not claim any ownership rights over Your Data.

You grant us a limited licence to process, store, and display Your Data solely for the purpose of providing and improving the SigmaDSA service. We will not access Your Data except as necessary for service operation, support, or as required by law.

Upon termination of your subscription, you may request an export of Your Data within 90 days. After this period, we may delete Your Data in accordance with our Data Deletion Policy.

8. Service Availability and SLA

We strive to maintain high availability of the SigmaDSA platform. Our target uptime is 99.5% measured on a monthly basis, excluding scheduled maintenance windows.

  • Scheduled maintenance: We will provide at least 24 hours' notice for planned maintenance, typically scheduled during off-peak hours (IST)
  • Unplanned downtime: In the event of unscheduled downtime, we will make commercially reasonable efforts to restore service promptly and communicate status updates
  • Service credits: If monthly uptime falls below 99.5% due to causes within our control, affected subscribers on annual plans may request service credits as per the terms of their subscription agreement

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • SigmaDSA is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
  • Our total aggregate liability for any claims arising out of or relating to these Terms or the use of SigmaDSA shall not exceed the total fees paid by you in the 12 months preceding the claim
  • We are not responsible for any losses resulting from third-party services, lender decisions, or regulatory actions beyond our control

10. Termination

Either party may terminate this agreement as follows:

  • By you: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period
  • By us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in activity that harms the platform or other users
  • Effect of termination: Upon termination, your access to the platform ceases. You may request data export within 90 days of termination. We will delete Your Data thereafter unless retention is required by law

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the use of SigmaDSA shall be subject to the exclusive jurisdiction of the courts in Baraut, Uttar Pradesh, India.

Before initiating any legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days. If the dispute remains unresolved, either party may seek resolution through arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Baraut.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or in-app notification at least 30 days before the changes take effect. Your continued use of SigmaDSA after the effective date constitutes acceptance of the updated Terms.
